Terms of Service

These Terms of Service ("Terms") govern your access to and use of AON Shopping and the AON authorized partner network operated by OpenAgent Pte. Ltd. ("AON", "we", "us"), including through our website at aon.pro, our APIs, authorized integrations, and any related services (together, the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What AON does, and what AON is not

AON Shopping is a discovery layer. It queries a network of authorized retail and e-commerce partners and returns product-related results that match your request. AON is not a merchant, seller, distributor, payment processor, or party to any transaction between you and a partner. When you choose to open a partner offer, you leave AON and complete the transaction directly on the partner's own website, under the partner's own terms, pricing, availability, shipping, returns, and refund policies.

AON does not warrant that any specific product is available, that prices are current at the moment of checkout on the partner's site, or that any specific partner will honor any specific offer.

2. Eligibility

You must be at least 13 years old to use the Service, and old enough to form a binding contract in your jurisdiction to transact with any partner. The Service is not directed to children under 13.

3. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right, including intellectual property rights.
• Use the Service to acquire, attempt to acquire, or solicit offers for goods that are prohibited under applicable law or under the policies of any platform through which the Service is accessed (including, without limitation, weapons, illegal drugs, regulated pharmaceuticals, tobacco, alcohol, adult content, gambling instruments, counterfeit goods, or stolen property).
• Scrape, crawl, mirror, or otherwise extract bulk data from the Service except via interfaces we expressly authorize.
• Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure.
• Interfere with or disrupt the Service, partners' systems, or the experience of other users.
• Reverse engineer, decompile, or attempt to derive source code of the Service, except to the extent that applicable law expressly permits despite this limitation.
• Misrepresent your identity, affiliation, or the source of any request submitted to the Service.

4. Partner offers and transactions

Offers shown through AON Shopping originate from independent partners. AON does not control, and is not responsible for, the accuracy of any offer at the moment of checkout, the quality of any product, fulfillment, shipping, customs, returns, refunds, warranty service, or customer support. Any dispute regarding a product or a transaction is between you and the relevant partner.

AON may receive a commission or other consideration from a partner when a user clicks through to that partner's site and completes a qualifying transaction. This does not change the price you pay.

5. Use through third-party interfaces

When you access AON Shopping through a third-party interface, your interaction may also be subject to that interface's own terms and policies. Responses returned by AON are provided for product discovery only; you are responsible for reviewing the partner's own pricing, availability, and terms before completing any transaction.

6. Intellectual property

The Service, including its software, design, text, graphics, logos, and the AgentOffer Protocol implementations operated by AON, are owned by OpenAgent Pte. Ltd. or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, AON grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial product discovery. All other rights are reserved.

Partner names, logos, and product information are the property of their respective owners and are displayed for identification and discovery purposes only.

7. Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. AON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OFFER INFORMATION WILL BE ACCURATE OR CURRENT.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AON OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF AON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AON'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD 100).

9. Indemnification

You agree to defend, indemnify, and hold harmless AON and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in breach of these Terms; (b) your violation of any law or third-party right; or (c) any transaction you enter into with a partner.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if necessary to protect the Service, our partners, or other users. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

11. Changes

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or relating to these Terms or the Service, except that AON may seek injunctive relief in any competent court.

13. Miscellaneous

These Terms, together with our Privacy Policy, are the entire agreement between you and AON with respect to the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
